Regulus Global seeks an experienced defense & aerospace lawyer to serve as its General Counsel (GC).  The GC will be the in-house head of legal affairs and represent the company and direct its outside legal support in meeting its domestic and international legal and regulatory needs. 

The GC will serve as the designated point of contact on the majority of corporate legal issues and corporate governance, export control/trade compliance, Foreign Corrupt Practices Act (FCPA), and business ethics. 

The GC will be the company's Empowered Official and coordinate all of the State Department, Commerce Department and ATF fillings and follow up.
The GC will be responsible for leading corporate strategic and tactical legal initiatives. The GC will provide senior management with effective advice on company strategies and their implementation, manage the legal function, and obtain and oversee the work of outside counsel. The GC will be directly involved in a range of complex business transactions.
The role will transition responsibilities currently provided by several members of the Regulus team along with outside counsel.  The goal is to streamline legal affairs to a centralized point for more effective and efficient decision making.
This position reports to the CEO.


Position responsibilities:

  • Review, negotiate, and manage all forms of contracts, leases, teaming agreements, and other third party agreements with customers, vendors, partners and sovereigns
  • Review employment related agreements and work with outside counsel as necessary to maintain compliance with state, federal and international employment law
  • Advise senior management on legal issues relating to contracts being reviewed and negotiated
  • Create and update standard form contracts and review and develop corporate policies

Export Compliance / Corporate Compliance:
  • Review, Upgrade and maintain a robust and up-to-date export control, FCPA, and corporate compliance program.
  • Ensure that company export, import, and trade activities follow documented procedures compliant with current regulations and practices, including submission and management of necessary export licenses, waivers or related documentation.
  • Serve as empowered ITAR authority to the DDTC
  • Regulatory interface to ATF, DOS and other domestic and foreign authorities as the need arises.
  • Maintain records of activities related to company exports as required by the ITAR, EAR, and the Foreign Trade Regulations.
  • Advise employees of customs and export regulations along with monitoring license use and compliance throughout the organization.
Other Responsibilities
  • Interface and manage counsel for more cost-effectively obtained out-of-house support in the following areas (may vary depending on candidate experience):
  • Intellectual property
  • Employment law (US and various foreign countries)
  • US and Foreign Tax law
  • Corporate financing, investment, capitalization, employee stock option and equity issues and documentation
  • Provide counseling and advice to Human Resources and other business and support units regarding employment issues and policies
  • Support transactional due diligence and compliance efforts
  • Ensure cost-effective, timely, high quality analysis and advice on legal and business issues to senior management
  • Interface with and recommend appropriate insurance policies
  • Work with Finance Department on banking relationships, loan documentation and covenants
  • Maintain a supportive industry environment through interactions with GC and Legal teams at fellow aerospace companies
Minimum Skills and Experience:
  • BS degree in Law or J.D. degree from an ABA accredited law school
  • Admitted to practice law in the Commonwealth of Virginia or eligible to work in the Commonwealth as a Corporate Counsel
  • Five years of related experience.
  • Strong knowledge of export compliance regulations
  • Familiarity with corporate information technology and records practices, and ability to understand, interpret, and effectively discuss technology, anticipate and resolve conflicts
  • The candidate must be capable of working with minimal supervision, work well on a team, be an excellent communicator, and be willing to develop new areas of sub-specialty as needs may arise.
  • Motivated, outgoing, confident self-starter who is also a natural team player and able to establish relationships with a diverse set of colleagues at all management and technical levels 
  • Ability to think, plan, prioritize, and execute on multiple projects simultaneously in an organized fashion, with careful attention to detail and excellent judgement. Must be comfortable meeting tight deadlines for ad hoc requests
Bonus Experience:
  • Experience with DDTC Policy or industry advocacy on Capitol Hill or a network to this community is valued
  • Primary expertise with US law, but additional experience with other Foreign law is valued 
  • Previous experience with legal firms or client counseling
