Lowenstein Sandler is seeking an Associate to join our Employee Benefits & Executive Compensation Group in our New York office.

Requirements

Candidates should have 3 – 4 years of major firm experience structuring employment agreements, equity compensation, performance incentives, deferred compensation, change in control protections, management participation in buyouts and new ventures and severance and separation arrangements. Representative clients should include private and public companies, start-up companies, private equity and hedge funds and senior executives. Deal experience should include private and public company M&A transactions, IPOs and other sale and liquidity transactions (including familiarity with SEC disclosure and reporting rules). Ideal candidate will also be familiar with how to structure management incentive and “carried interest” plans for private equity and hedge fund clients. Specific knowledge of Tax Code Sections 409A, 280G, 162(m) and 83(b) is required. Must have excellent academic credentials and be admitted to the NY bar. Tax LL.M is not required but is a positive credential.
