Attorney—Corporate and Regulatory Counsel

Job Summary:

Providing legal support and counsel to a fast-paced Broker-Dealer and related Global Trading business on SEC and FINRA regulatory matters and a wide variety of contract negotiations.  

Principal Responsibilities Include:

  • Providing legal advice and support in connection with the negotiation, drafting, interpretation, and renewal of clearing, execution, portal, referral, soft dollar and other agreements.
  • Providing legal advice and support to the compliance staff of the FIS U.S. broker-dealer on regulatory and compliance matters, including the preparation or review of written submissions by the firm in connection with regulatory examinations and inquiries.
  • Providing legal advice and support to the company’s SGN connectivity, Valdi order management, and Front Arena businesses; principally in connection with the negotiation, drafting, interpretation, and renewal of software license, hosting and support agreements.
  • Other legal services as may be assigned from time-to-time as required to support the business.

Travel:

  • Domestic Travel approximately 10%

Requirements

Demonstrated Experience & Critical Key Competencies:

  • Currently licensed to practice law in the U.S.
  • Excellent academic credentials.
  • Minimum five years’ experience in the practice of law, preferably including at a prominent law firm.
  • Prior experience advising broker-dealers on contract, regulatory, and compliance issues.
  • Prior experience negotiating and drafting complex software license agreements.
  • Strong drafting skills, good judgment, and team player.
  • Must possess excellent business judgment as well as the ability to prioritize workflow and meet demanding deadlines while working in a fast-paced work environment.
  • The ability to work independently and to collaborate with others.
  • The ideal candidate will have a strong commercial negotiation experience as well as prior in-house experience.
  • Target candidates must be enthusiastic, enjoy working hard and being challenged, and demonstrate sound judgment in advising on the resolution of complicated matters.

Education:

• Juris Doctor from an ABA accredited law school.
